Agreement to Terms
Welcome to Listybox, a product of Arbitbox LLC. These Terms of Service (“Terms”) govern your access to and use of our SaaS platform designed for Etsy Print-on-Demand sellers, including our website, applications, and related services (collectively, the “Service”).
By creating an account or using Listybox, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.
Definitions
• “Service” refers to the Listybox platform, website, and all related features
• “User,” “you,” “your” refers to the individual or entity using the Service
• “We,” “us,” “our” refers to Arbitbox LLC, operating as Listybox
• “Content” refers to data, text, images, and other materials uploaded or generated through the Service
• “Subscription” refers to your paid or free plan for accessing the Service
Eligibility
To use Listybox, you must:
• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
If you are using the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms.
Account Registration and Security
Account Creation
To access certain features, you must create an account by providing:
• Valid email address
• Secure password
• Accurate profile information
Account Security
You are responsible for:
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.
Subscription Plans and Billing
Billing Terms
• Paid subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or stated in our Refund and Cancellation Policy
• Prices may change with 30 days’ notice
• You authorize us to charge your payment method for subscription fees
Free Plan
• We offer a free plan so you can use Listybox before you pay
• The free plan does not require a payment method and does not turn into a paid subscription on its own
• Some features are available only on a paid plan
• You move to a paid plan only when you choose to upgrade, and billing starts at that point
Cancellation
• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• No refunds for partial billing periods
Usage and Fair Use
Daily Capacity
Your subscription plan comes with a daily production capacity rather than a fixed number of items. We do not publish a numeric limit, and your plan is not sold as unlimited. In normal use you should be able to plan your day’s work without counting operations.
Capacity is set at a level intended to cover ordinary seller workloads. We may adjust it, and we may apply fair-use limits, to keep the Service available for everyone and to prevent abuse or automated bulk usage that goes beyond ordinary seller work.
How Capacity Behaves
• Your daily capacity resets at midnight UTC (03:00 Turkey Time)
• Unused daily capacity does not carry over to the next day or to the next billing period
• When you reach your daily capacity, the features that consume it pause until the next reset
• Features that do not consume capacity (catalog browsing, order management, settings) remain available
• You can see your current usage in your account
If You Reach Capacity Repeatedly
We do not charge overage fees and we do not move your account to a higher plan on our own. If you reach your daily capacity on several consecutive days, we will contact you: either we review your usage together or we prepare an Enterprise+ arrangement that matches your volume. The choice is yours.
Capacity is granted per account. Sharing an account, reselling capacity to third parties, or making automated bulk calls beyond ordinary human use is a breach of these Terms. In such cases we write to you first; if the usage does not change, we may temporarily limit capacity. Account termination is a last resort and any refund is governed by our Refund Policy.
Acceptable Use Policy
You Agree To:
• Use the Service only for lawful purposes
• Comply with Etsy’s terms of service and policies
• Provide accurate information about your products and business
• Respect intellectual property rights of others
• Maintain the security of your account
You Agree Not To:
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Use the Service for spam, phishing, or fraudulent activities
• Reverse engineer, decompile, or modify the Service
• Resell or redistribute the Service without authorization
• Interfere with the Service’s operation or other users’ access
• Use automated systems (bots, scrapers) without permission
• Misrepresent your identity or affiliation
Violation of these terms may result in immediate account termination.
Etsy Integration
Authorization
By connecting your Etsy account, you authorize Listybox to:
• Access your Etsy shop data via the Etsy API
• Read listing information, sales data, and analytics
• Perform actions you request through our platform
Etsy’s Terms
Your use of Etsy integration is also subject to:
• Etsy’s Terms of Use
• Etsy’s API Terms of Use
• Etsy’s Seller Policy
We are not responsible for changes to Etsy’s platform or policies that may affect the Service.
Intellectual Property
Our Intellectual Property
Listybox and its licensors retain all rights to:
• The Service, including software, designs, and features
• Our trademarks, logos, and brand elements
• Documentation and marketing materials
You may not copy, modify, distribute, or create derivative works without our written permission.
Your Content
You retain ownership of content you upload to Listybox. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to:
• Store, process, and display your content as necessary to provide the Service
• Create backups for service continuity
• Analyze aggregated, anonymized data to improve our services
• Host, reproduce and publicly display the finished product images you create with Listybox in our community inspiration gallery and on Listybox promotional surfaces
Community Inspiration Gallery
Listybox runs a public gallery of finished product images made with the Service, so that sellers can see what is possible. What appears there is the finished image only, at gallery size. We do not publish your source or editable files, your shop name or shop link, your account details, or your order data.
The gallery is public by default: images you create with the Service may appear there, including images you created before this clause took effect. You keep ownership of your work throughout, and the license above is limited to showing it - we do not sell your images or license them to third parties.
If you do not want an image of yours shown, write to us at hello@listybox.com and we will remove it. Use the same address to report content that infringes your rights or is otherwise inappropriate; the DMCA process below also applies to gallery content. Removal from the gallery does not affect your account or your listings.
DMCA and Copyright
We respect intellectual property rights. If you believe content on our platform infringes your copyright, please contact us with:
• Description of the copyrighted work
• Identification of the allegedly infringing content
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury that you are authorized
• Your physical or electronic signature

Service Provided “As Is”
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
No Guarantee of Results
We do not guarantee that using Listybox will result in:
• Increased sales or revenue
• Higher search rankings on Etsy
• Business success
Results depend on many factors beyond our control.
Limitation of Liability
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBITBOX LLC’S (OPERATING AS LISTYBOX) TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED:
• The amount you paid us in the 12 months preceding the claim, or
• $100 USD if you have not made any payments
Exclusion of Damages
WE SHALL NOT BE LIABLE FOR:
• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages from unauthorized access to your account
• Damages from service interruptions or errors
• Damages from third-party conduct
Some jurisdictions do not allow limitation of certain damages. In such cases, our liability is limited to the maximum extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Arbitbox LLC (operating as Listybox), its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:
• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content
• Your business activities on Etsy
Dispute Resolution
Informal Resolution
Before filing a formal dispute, you agree to contact us at legal@listybox.com to attempt informal resolution. We will attempt to resolve disputes within 30 days.
Arbitration Agreement
Any disputes not resolved informally shall be resolved by binding arbitration, except for:
• Small claims court actions
• Injunctive relief for intellectual property violations
Arbitration will be conducted by a mutually agreed arbitrator under commercial arbitration rules.
Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Mandatory Local Consumer Rights
Nothing in these Terms removes or limits rights you have as a consumer that cannot be waived under the law of the country where you live. Where those laws conflict with this section - including the arbitration agreement, the class action waiver and the choice of Delaware law - your local mandatory rights apply, and you may bring a claim before the courts or consumer bodies of your own country.
Termination
By You
You may terminate your account at any time by:
• Cancelling your subscription in account settings
• Requesting account deletion via email
By Us
We may suspend or terminate your account immediately if you:
• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Pose a security risk
Effect of Termination
Upon termination:
• Your right to access the Service ends immediately
• We may delete your data after a reasonable retention period
• Provisions that should survive (liability, indemnification) remain in effect
• Outstanding fees remain due
Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by:
• Email notification
• Notice within the platform
• Updating the “Last Updated” date
Continued use of the Service after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.
General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Arbitbox LLC.
Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
Waiver: Our failure to enforce any right or provision does not waive that right.
Assignment: You may not assign these Terms without our consent. We may assign our rights to an affiliate or successor.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
Notices: Notices to you will be sent to the email address on your account. Notices to us should be sent to legal@listybox.com.
